1. Who we are and what these terms cover

These terms are the agreement between you and 1 Day EIN LLC, a limited liability company registered in Colorado. In these terms, we and us mean 1 Day EIN LLC. You means the person or company buying our services.

By placing an order you accept these terms.

We form US companies and handle US filings for people who live outside the United States. We form companies in Wyoming and Colorado only.

2. What we are not

This is the most important section. Please read it.

We are not lawyers and we are not accountants. We do not give legal advice or tax advice. Nothing we say to you is legal or tax advice, whether by email or on our website.

We do not do bookkeeping and we do not audit, check or verify your accounts or your figures.

We are not your bank and we cannot open bank accounts. We cannot promise that any bank or payment provider will accept you. See section 10.

If you need advice on your tax position, your personal circumstances, or the law in your own country, you need a qualified professional in the right jurisdiction. We are not that.

All prices are in US dollars.

The $399 Complete LLC Registration includes the state filing fee, the EIN, an operating agreement, and the registered agent and US business address for the first 12 months. There is nothing further to pay in year one.

The $150 annual report price includes the state fee, in both Wyoming and Colorado.

Prices may change. The price that applies to you is the price shown when you place your order.

4. The two ways you pay, and what each one promises

Our two main services work differently. This section explains both.

4.1 Complete LLC Registration + EIN, and the 72-hour guarantee

You pay $399 upfront. In return we guarantee that your company will be formed and your EIN issued within 72 hours. If we miss that, you get all your money back.

The 72 hours starts once we have everything we need from you. That means:

  • a complete application
  • three company name choices, in order of preference
  • full details for every owner, including a passport copy
  • cleared payment

If we have to come back to you with a question, the 72 hours starts again when you answer.

The guarantee does not apply if the IRS or the relevant Secretary of State is closed, or their systems are unavailable, or they are subject to delays outside our control. If that happens we will tell you promptly. You may then choose to wait, or to take a full refund.

4.2 EIN only

If your company already exists, formed by us or by anyone else, we can obtain the EIN on its own for $100.

Nothing is charged when you apply and we do not take card details. We ask you for payment only after the EIN has been issued, by a secure payment link sent by email.

There is no money-back guarantee on this service because there is nothing to refund. If we do not obtain your EIN, you do not pay.

5. What 1 business day means

Where we say your EIN will be issued in 1 business day, we mean one business day, Monday to Friday, once your company is formed.

It does not mean the same day. It does not include weekends. It does not include US public holidays.

We do not offer a same-day or a weekend service.

6. What you must give us, and what you are responsible for

You must give us information that is accurate, complete and current. This includes your full legal name exactly as it appears on your passport, your date of birth, your nationality, your residential address, and the same for every other owner.

You are responsible for the accuracy of everything you give us. We file what you tell us. If a filing is wrong because the information you gave us was wrong, correcting it is chargeable, and any state or IRS fee for the correction is yours to pay.

You confirm that you are at least 18 years old and that you are legally allowed to own a US company.

You remain the responsible party on your EIN application. We do not name ourselves as the responsible party and we are not an owner, member or manager of your company.

Company names. We ask for three names because states reject names that are already taken or too similar to an existing one. We file the first of your three that is available. A rejected name is not a failure to deliver and is not grounds for a refund.

Your own obligations. Owning a US company may create obligations for you in your own country, and may create reporting obligations in the United States, including beneficial ownership reporting where the law requires it. Those obligations are yours. We do not advise on them and we do not discharge them for you.

7. Yearly filings

Every foreign-owned single-member US LLC must file IRS Form 5472 with a pro-forma 1120 each year by 15 April, for the previous calendar year. This applies even if the company earned nothing, never traded, or has no bank account. Penalties for failing to file start at $25,000.

Wyoming and Colorado both require an annual report each year.

These obligations are yours, not ours. We will file for you if you have bought that service and given us what we need in time. We are not responsible for a filing we were not engaged to make, or for one we could not complete because you did not respond to us.

For the 5472 we need two figures from you: the total you put into the company that year, and the total you took out. We rely on those figures as you give them. We do not check them.

8. The Compliance Plan

The Compliance Plan costs $350 per year and covers the registered agent, the US business address, the state annual report and the Form 5472 with pro-forma 1120.

It renews automatically each year until you cancel. You may cancel at any time from your portal or by replying to any email from us. Cancellation takes effect at the end of the period you have already paid for. We do not refund part-used periods.

We will still need your two figures each year for the 5472. The plan covers the work and the fee, not the figures.

If you receive a notice from the IRS, we will read it, explain what it means and tell you what response is needed. You deal with the IRS yourself. We do not correspond with the IRS on your behalf and we do not represent you before the IRS.

9. Registered agent and US business address

We act as your registered agent in Wyoming and Colorado, in-house. We are not reselling another provider.

We receive mail sent to your US business address, open and scan it, and deliver it to your document portal. We do not forward physical mail.

The address is provided for the operation of your company. It may not be used for anything unlawful. We may withdraw the service, on notice, if it is misused.

If you stop paying the annual renewal, the registered agent and address service ends. A company without a registered agent can fall out of good standing with its state, and eventually be dissolved by that state. That consequence is yours.

10. Banking

We cannot open a bank account for you and we do not promise that any bank or payment provider will approve you.

We give you what a bank asks for: your formation documents, your EIN confirmation letter, an operating agreement, a genuine US business address, and a written guide to the Mercury application process.

Approval depends on the bank's own criteria, your circumstances, where you live and what you sell. Those criteria change and we do not control them. A refusal by a bank is not a failure by us and is not grounds for a refund.

11. Refunds

Before we file with the state: full refund, no questions.

After we file with the state: the state filing fee has been paid and cannot be recovered, so no refund is available from that point, except under the 72-hour guarantee in section 4.1.

Under the 72-hour guarantee: full refund, as set out in section 4.1.

If we cannot deliver for a reason that is not your fault: full refund.

Not refundable: a company name rejected by the state (see section 6), a bank declining your application (see section 10), a change of mind after filing, or a service already performed.

Refunds are made to the original payment method, normally within 10 business days.

12. Support

We provide support by email only. We do not offer telephone calls, video calls or messaging apps.

There are two reasons. Everything stays in writing, which matters when the IRS is involved. And it keeps the price low.

A real person replies within 1 business day, Monday to Friday.

13. Businesses we will not act for

We may refuse or withdraw service, and will refund anything not yet earned, if your business involves:

  • weapons or ammunition
  • controlled drugs
  • adult services
  • gambling without the required licence
  • any scheme promising guaranteed financial returns
  • money transmission, or any activity requiring a licence you do not hold
  • anything unlawful in the United States or in your own country

We may also refuse service where we are required to by law or by sanctions, or where we reasonably suspect fraud or misuse.

14. Your documents and your account

Your documents are delivered to your portal and by email. Keep your own copies. We aim to keep your documents available in the portal for as long as you are a customer, but we are not a document archive and you should not rely on us as your only copy.

You are responsible for keeping your login details secure.

15. Our liability

We will provide our services with reasonable care and skill.

We are not liable for:

  • decisions made by the IRS or by any Secretary of State, including timing, rejections and errors on their side
  • decisions made by any bank or payment provider
  • your own tax position, in the US or anywhere else
  • penalties arising from filings you did not engage us to make, or that we could not complete because you did not give us what we asked for
  • losses caused by information you gave us that was wrong or incomplete
  • indirect or consequential loss, loss of profit, loss of business or loss of opportunity

Where we are liable, our total liability is limited to the amount you paid us for the service in question. Nothing in these terms limits liability that cannot lawfully be limited, including liability for fraud or for death or personal injury caused by negligence.

16. Things outside our control

We are not in breach of these terms, and no guarantee applies, where performance is prevented or delayed by something outside our reasonable control. This includes IRS or state office closures, system outages, industrial action, government shutdowns, natural events, war, and changes in law or procedure.

Where that happens we will tell you promptly and, where we cannot deliver, refund you.

17. Privacy

We handle your personal information in the way described in our Privacy Policy, which forms part of these terms.

18. Changes to these terms

We may update these terms. The version that applies to your order is the version published when you placed it. We will post any update on this page with a new date.

19. Ending the agreement

You may stop using our services at any time. Sections dealing with renewals, refunds and liability continue to apply.

We may end the agreement where you breach these terms, where section 13 applies, or where we are required to by law. We will refund anything you have paid for that we have not yet delivered.

20. General

If any part of these terms is found to be unenforceable, the rest continues to apply.

If we do not enforce a right straight away, we do not lose it.

These terms are the whole agreement between us about our services, and replace anything said beforehand.

You may not transfer your rights under these terms without our written agreement.

21. Governing law

These terms are governed by the laws of the State of Colorado, United States. The courts of the State of Colorado have exclusive jurisdiction.
