Starting a US LLC from the UAE
Francis Webb, Founder, 1 Day EIN
A founder in Dubai or Abu Dhabi can own a US LLC outright. There is no US visa, no US partner and no Social Security Number involved. A UAE resident can be the sole owner of a Wyoming or Colorado LLC, obtain its EIN and run US-dollar business through it. For Dubai and Abu Dhabi agencies, e-commerce sellers, consultants and founders of internet businesses invoicing US clients, that package (a US entity, a US tax ID, dollar banking) is the practical reason this page gets read.
What follows is the honest version of each step from the UAE specifically: what works, in what order, where applications fail and the home-country questions to settle before you start.
Step one: the company
Nothing about residence in the UAE restricts forming the LLC. You choose a state (Wyoming or Colorado, compared honestly) and the company can exist within days. Neither state's formation filing asks for the names of the LLC's members, and no step requires you to travel, notarise documents in the US or hold any US status.
What you will need from your side is unremarkable: your passport details for identity checks at later steps, banking above all, and an address. One planning note: the address you give counterparties matters more than founders expect. See the banking section.
Step two: the EIN, without an SSN
The EIN is the company's federal tax number, and everything commercial waits behind it: banking, payment processors, marketplace registrations. A non-US owner with no SSN or ITIN can obtain one. How it works, and why timelines across the market run from days to many weeks, is covered in how to get an EIN without an SSN or ITIN.
Step three: banking
Mercury, the default US banking choice for non-resident founders, publishes a list of countries it will not serve. In Mercury's words, it is "unable to open accounts for founders who live in – or businesses that operate or do business in – any of the countries and regions listed below. This is based on your country of residence, not your citizenship or nationality." The UAE does not appear on that list. Source: Mercury's prohibited-countries page, read 28 October 2026. Other countries do appear, which is why a counterpart page for founders in listed countries exists.
Read that for what it is and no more. A UAE resident is not excluded by policy. It is not an approval: every application is assessed individually, and no formation company can promise you any bank's decision. Note the second half of Mercury's sentence too. Where the business operates matters, not only where you live. What sinks eligible applications is usually avoidable: address problems (a registered agent's address given as your principal place of business, which banks treat differently), vague business descriptions, and inconsistencies between the application and the formation documents. The full picture, covering requirements, the address rule and the alternatives if Mercury declines, is in can a non-resident open a US business bank account?
Mercury updates its list without publishing a revision date, so check the linked page yourself the week you apply.
Step four: the UAE side
Tax treaty. The UAE does not appear on the IRS's list of US income tax treaties (read 28 October 2026). The IRS's page explains what that means in general terms: "If the treaty does not cover a particular kind of income, or if there is no treaty between your country and the United States, you must pay tax on the income in the same way and at the same rates shown in the instructions for the applicable U.S. tax return." That sentence is about US tax on income that is taxable in the US. Whether any US tax applies to you at all depends on what the company does and where, which is a question about your own facts.
UAE rules. How UAE rules treat a resident who owns a foreign company depends on the person and the activity, and this page does not summarise them. Take that question, and the US tax question, to a UAE-registered tax adviser before you start trading through the company.
Step five: the year after
The company you formed has a small annual calendar: a registered agent at all times, a state report once a year, and a federal information filing where it applies. Whether your LLC has to file depends on its ownership and on the transactions it had during the year. The whole calendar, with self-service costs, is in the single-member LLC compliance year.
The honest summary for a founder in the UAE
On the US side, everything on this path is open to you, including the mainstream banking route. As the counterpart page shows, not every country can say that. The failure modes are ordinary ones: applications rushed before the EIN exists, addresses used for purposes they cannot serve, companies formed and then left uncompliant, and home-country questions left until after the money has moved. All four are avoidable by doing the steps in the order above.
If you want the formation step done for you: Complete LLC Registration + EIN is $399 all in for Wyoming or Colorado. State and filing fees are included, and the EIN is issued within 1 business day (Mon–Fri) of formation completing. Under our terms §4.1, "we guarantee that your company will be formed and your EIN issued within 24 hours (one business day, as defined above). If we miss that, you get all your money back." The terms define that business day as Monday to Friday, excluding US public holidays, counted from when we have everything we need from you, and set out the exceptions in full. Start at /start-llc. All prices are on /pricing.
This page is general information, not legal, tax, foreign-exchange or immigration advice, and no statement here guarantees any bank's, agency's or regulator's decision. Mercury's list and the government pages linked above were read on the dates shown. Confirm them on the source pages before acting, and take home-country questions to a qualified local professional. Next quarterly re-check: 1 December 2026.
